(NASDAQ: GOAM) today announced the execution of a definitive agreement under which it will acquire the assets of Verizon's Telecommunications Relay Services (TRS) division for $50 million in cash and up to an additional $8 million in contingent cash consideration. This acquisition will be financed by the issuances of new GoAmerica preferred stock and debt totaling $65 million to Clearlake Capital Group, pursuant to agreements and a commitment letter executed concurrently with the Verizon agreement.
